Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 1Gesture service ("Service"), operated by 1Gesture ("we", "our", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

1Gesture provides branded meeting reminder emails with optional impact gesture funding. The Service allows users to:

• Connect their Google Calendar (read-only) to generate personalised meeting reminders.
• Send branded reminder emails to meeting attendees ahead of scheduled events.
• Fund impact gestures -- small, meaningful gifts directed to verified Impact Partners on behalf of meeting attendees.

2. Account Responsibilities

When you create a 1Gesture account, you agree to:

• Provide accurate and complete information during registration.
• Keep your account credentials secure and not share them with third parties.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately if you suspect unauthorised access to your account.
• Be at least 18 years of age to create and maintain an account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful behaviour.

3. Impact Gestures

Impact gestures allow you to fund meaningful actions through verified Impact Partners. By using this feature, you acknowledge and agree that:

• 1Gesture facilitates the funding of gestures to verified Impact Partners. 1Gesture is not itself an Impact Partner or a registered charitable organisation.
• All revenues designated for impact gestures are ring-fenced -- they are held separately and directed exclusively to the selected Impact Partners.
• Impact Partners are independently verified by 1Gesture. We make reasonable efforts to ensure their legitimacy and impact, but we do not guarantee outcomes delivered by Impact Partners.
• Gesture selections made by attendees are private by default and are not disclosed to meeting hosts unless the attendee explicitly consents.

4. Subscription Terms

Free Plan

1Gesture offers a Free plan that is available indefinitely. The Free plan includes core meeting reminder functionality with limited features. No payment information is required to use the Free plan.

Paid Plans

Paid subscription plans are billed monthly via Stripe. By subscribing to a paid plan, you agree to:

• Provide valid payment details through Stripe's secure payment interface.
• Authorise recurring monthly charges at the rate displayed at the time of subscription.
• Receive an email receipt for each billing cycle.

Cancellation

You may cancel your paid subscription at any time through your account settings. Upon cancellation:

• Your paid features remain active until the end of the current billing period.
• Your account reverts to the Free plan at the end of the billing period.
• No partial refunds are issued for unused time within a billing period.

5. Budget Caps

1Gesture allows you to set a monthly budget cap for impact gesture funding. Budget caps are:

• User-defined -- you choose the maximum amount you are willing to fund per month.
• Hard stops enforced -- once your budget cap is reached, no further gesture funding occurs until the next billing cycle. We will never exceed your specified cap.
• Adjustable at any time through your account settings. Changes take effect from the next billing cycle.

6. Intellectual Property

Our Property

The 1Gesture name, brand, logo, website, application, and all associated software, designs, and content are the intellectual property of 1Gesture. You may not reproduce, modify, distribute, or create derivative works from any part of our intellectual property without prior written consent.

Your Property

Any logos, brand assets, or images you upload to 1Gesture remain your property. By uploading them, you grant 1Gesture a limited, non-exclusive licence to display them within meeting reminder emails and within the Service as necessary to provide the features you have configured.

Impact Certificates

Impact certificates generated by 1Gesture are licensed for personal and professional sharing (including on social media, in presentations, and in reports). You may not alter the content of certificates or misrepresent the impact they describe.

7. Acceptable Use

You agree not to use the Service to:

• Send unsolicited or spam communications.
• Harass, abuse, or harm other users or attendees.
• Distribute malicious software or content.
• Attempt to gain unauthorised access to the Service or other users' accounts.
• Use the Service in violation of any applicable law or regulation.
• Impersonate another individual or organisation.

8. Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, 1Gesture shall not be liable for:

• Failures or delays in email delivery.
• Calendar synchronisation delays or errors.
• The performance, conduct, or outcomes of Impact Partners.
• Loss of data resulting from service interruptions beyond our reasonable control.
• Indirect, incidental, special, consequential, or punitive damages.

Our total aggregate liability to you for any claims arising out of or related to the Service shall not exceed the total fees you have paid to 1Gesture in the 12 months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless 1Gesture, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

By You

You may delete your account at any time through your account settings. Upon deletion:

• Your personal data will be removed within 30 days, as detailed in our Privacy Policy.
• Any active paid subscription will be cancelled at the end of the current billing period.
• Completed impact gestures are not reversible -- funds already directed to Impact Partners will not be refunded.

By Us

We may suspend or terminate your account if:

• You breach these Terms.
• We are required to do so by law.
• Your account has been inactive for an extended period (we will notify you before any such action).
• Continuing to provide the Service to you would pose a risk to other users or the integrity of the Service.

We will make reasonable efforts to provide advance notice before termination, except where immediate action is necessary to prevent harm.

11. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms affects your statutory rights as a consumer under applicable law.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and 1Gesture regarding your use of the Service.
